About us

1. All our sales, works and services are subject to the conditions set out herein. Client’s conditions to the contrary are not accepted.
2. Our offers are made without any obligation in respect with the terms for delivery or execution, that are always given by approximation. The exceeding of the delivery and execution terms can not lead to a refusal of the order or to a claim for damages. If the client by its own defaulting behavior or negligence makes delivery within the proposed term impossible, we reserve the right to review the price.
3. Unless mentioned otherwise, the sound carriers, that are the object of our sale, may only be used in the framework of fitness and aerobic lessons as well as variations hereto: any other use is forbidden.The sale,the putting at the disposal of third parties and the integral or partial reproduction of the sound carriers by the customer are forbidden. All rights of authors, producers and performing artists are reserved.
4. Our invoices are always payable at our registered seat, net, without any reduction, within 30 days as of the invoice date. If the amount due is not received by us in full at the fixed due date, the invoice shall be increased, ipso jure and without notice of default, with an interest at the rate of 12 % per annum until payment in full is made, a part of a month being considered as a full month, and with a fixed indemnity of 10 % on the amount due with a minimum of 125 €. The non-payment of one single invoice on the due date makes the outstanding balance of all the other invoices, even if the due date has not yet been reached, immediately claimable.
5. All the cost as to recovery and protest of the accepted or not accepted bill of exchange are borne by the client. The offering of bills of exchange does not alter the place of payment. If a bill of exchange is drawn, we do not waive any of the above mentioned rights and the drawing of a bill of exchange is never considered as a novation of debt.
6. The products delivered by us remain our property until payment of the principal amount and, possibly, costs and interests by the client. Delivery and deposit of the products -either at our premises or with third parties - take place on the risk of the client. Freight charges and packaging costs are borne by the client, unless explicitly stipulated to the contrary. The products are transported at the risk of the client.
7. If the client has complaints as to the delivered product, these complaints, together with a clear description of the defects that makes it possible for us to inspect the case, have to be communicated to us by registered mail within 8 days following the day of receipt of the product. If the complaint is accepted by us, we shall take the products back, unless the products in question are audio or video recordings of which the seal has been broken by the client. Any, even partial, use of the delivered products implies an acceptance of the whole.
8. The agreement with the client will be governed by the Belgian law. In case of conflict the courts of the district of our registered seat are competent, notwithstanding our right to seize another jurisdiction.

Algemene verkoopsvoorwaarden

1. Al onze verkopen, werken en diensten geschieden op de hiernavolgende voorwaarden. Andersluidende voorwaarden van de klant worden niet aanvaard.
2. Onze aanbiedingen worden gedaan zonder verbintenis wat de leverings- en uitvoeringstermijnen betreft, die steeds bij benadering worden opgegeven. Overschrijding van de leverings- en uitvoeringstermijnen kan geen aanleiding geven tot weigering van de bestelling of vordering tot schadevergoeding. Zo de klant echter door zijn fout of nalatigheid levering binnen de voorgestelde termijn onmogelijk maakt, behouden wij ons het recht voor de prijs te herzien.
3. Tenzij anders vermeld, mogen de geluidsdragers, die het voorwerp zijn van onze verkoop, uitsluitend gebruikt worden in het kader van fitness- en aerobicslessen alsmede de varianten hierop: elk ander gebruik is verboden. De verkoop, de terbeschikkingstelling aan derden en de gehele of gedeeltelijke reproductie van de geluidsdragers door de klant zijn verboden. Alle rechten van de auteurs, producenten en uitvoerende kunstenaars zijn voorbehouden.
4. Onze facturen zijn steeds betaalbaar op onze maatschappelijke zetel, netto, zonder korting, op 30 dagen na factuurdatum. Iedere factuur die volledig of gedeeltelijk onbetaald blijft op de vastgestelde vervaldag wordt, van rechtswege en zonder ingebrekestelling, vermeerderd met een intrest van 12 % per jaar tot volledige betaling, waarbij iedere begonnen maand beschouwd wordt als zijnde verlopen, en met een forfaitair schadebeding van 10 % op het verschuldigd bedrag met een minimum van 125 €. De niet-betaling op de vervaldag van één enkele factuur maakt het verschuldigde saldo van al de andere zelfs niet vervallen facturen van rechtswege onmiddellijk opeisbaar.
5. Alle innings- en protestkosten van een aanvaarde of niet aanvaarde wissel vallen ten laste van de klant. Het aanbieden van wissels wijzigt de plaats van betaling niet. Bij het trekken van een wissel zien wij daarenboven van geen enkele van de bovengenoemde rechten af en het trekken van een wissel geldt nooit als schuldvernieuwing.
6. De door ons geleverde producten blijven onze eigendom tot betaling van hoofdsom en, desgevallend, kosten en intresten door de klant. Levering en bewaring van de producten - hetzij bij ons hetzij bij derden -geschieden op het risico van de klant. Vracht - en verpakkingskosten zijn ten laste van de klant, behoudens uitdrukkelijk andersluidend beding. De producten reizen op risico van de klant.
7. Indien de klant klachten heeft omtrent het geleverde product, dient hij deze klachten, met een duidelijke omschrijving van de gebreken die ons in staat stellen kennis te nemen van de zaak, mee te delen per aangetekend schrijven binnen de 8 kalenderdagen vanaf de dag die volgt op de ontvangst van het product. Indien de klacht door ons wordt aanvaard, zullen wij de producten terug in ontvangst nemen, tenzij de producten in kwestie audio- en video-opnamen zijn waarvan de verzegeling door de klant is verbroken. Elke, zelfs gedeeltelijke, benutting van de levering heeft de aanvaarding van het geheel tot gevolg.
8. De overeenkomst met de klant wordt beheerst door het Belgisch Recht. Ingeval van betwisting zullen de rechtbanken van het arrondissement waar onze maatschappelijke zetel gelegen is, bevoegd zijn, onverminderd ons recht om een andere rechtsinstantie te vatten.

Conditions générales de vente

1. Toutes nos ventes, travaux, livraisons et services sont consentis aux conditions mentionnées cidessous. Les conditions de nos clients sont écartées dès lors qu’elles sont contraires aux-nôtres.
2. En ce qui concerne les délais de livraison et d’exécution, nos offres s’entendent sans engagement; elles sont toujours données à titre
   indicatif. La transgression des délais de livraison et d’exécution ne peut pas donner lieu au refus de la commande ou à une demande en paiement de dommages et intérêts. Si la livraison est impossible par la faute ou négligence du client, nous nous réservons le droit de réviser le prix convenu.
3. Sauf stipulation contraire, les supports sonores faisant l’objet de la vente, ne peuvent être utilisés que dans le cadre de cours de fitness et d’aérobic ainsi que des variantes de ces cours. Tout autre usage est interdit. La vente, la mise à disposition à des tiers et la reproduction intégrale ou partielle des supports sonores par le client sont interdites. Les droits des auteurs, de producteurs et d’artistes interprètes sont tous réservés.
4. Nos factures sont toujours payables à notre siège social, sont nettes, sans escompte, et payables trente jours à la date de la facture. Le montant exigible de chaque facture non réglée à l’échéance fixée, est majoré de plein droit et sans mise en demeure préalable d’un intérêt de 12 % l’an jusqu’à paiement intégral, chaque mois commencé étant considéré comme un mois entier, et d’une indemnité forfaitaire de 10 % sur le montant dû avec un minimum de 125 €. Le non-payement à l’échéance fixée d’une seule facture, rend le solde dû de toutes les autres factures, même non encore échues, de plein droit immédiatement exigible.
5. Tous les frais d’encaissement et de protêt de traites acceptées ou non sont à charge du client. La présentation d’un effet de commerce ne déroge pas au lieu où doit être effectuer le paiement. En tirant une traite nous ne renonçons à aucun de nos droits mentionnés ci-dessus et le tirage d’une traite ne constitue à aucun moment une quelconque novation.
6. Les produits que nous livrons restent notre propriété jusqu’au paiement par le client de la somme due en principal et, le cas échéant, des coûts et intérêts. Le client porte la charge du risque de la livraison et du dépôt des produits, soit chez nous soit chez des tiers. Les frais de chargement et d’emballage sont à charge du client, sauf stipulation expresse contraire. Les produits sont transportés aux
   risques du client.
7. Toute réclamation éventuelle du client relative à un produit livré, doit être formulée par lettre recommandée, être adressée dans la huitaine suivant le jour de la réception du produit à notre siège social, et être accompagnée d’une description claire des défauts qui nous permette de prendre connaissance de cette affaire. Si nous acceptons la réclamation, nous reprenons le produit, sauf si le produit visé comporte des enregistrements audio ou vidéo dont l’emballage a été rompu par le client. Toute utilisation, même partielle, aboutit à l’acceptation de la livraison dans son entièreté.
8. Tout rapport contractuel avec le client est soumis au droit belge. En cas de litige, les tribunaux de l’arrondissement de notre siège social sont compétents, sans préjudice de notre droit de saisir une autre instance judiciaire.
